These terms cover this website and the general basis on which we offer consulting services. They are not the terms of any product we operate — each product is governed by its own terms of service, published on its own site — and they are not themselves a contract to perform work.

The content here is provided for general information about our company and what we do. It is not professional, legal, financial, or technical advice, and it is not an offer capable of acceptance.

Descriptions of services and products describe our current capabilities and offerings. They may change, and nothing on this site is a commitment to provide a particular service, feature, availability, or result.

Consulting work is performed only under a separate written agreement — a proposal, statement of work, or master services agreement signed by both parties. That agreement governs scope, deliverables, timeline, fees, payment terms, confidentiality, intellectual property ownership, warranties and liability for the engagement.

Where that written agreement and these Terms of Use conflict, the written agreement controls for that engagement. Sending us an enquiry, and our replying to it, does not by itself create an engagement or any obligation to perform work.

When using this website, you agree not to:

• Use it for any unlawful purpose or in violation of these terms.
• Attempt to gain unauthorised access to it, or to any system or network connected to it.
• Interfere with its operation, including by introducing malicious code or by placing unreasonable load on it.
• Scrape, harvest or collect information from it for the purpose of unsolicited commercial messaging.
• Copy, reproduce or redistribute its content other than as permitted below.

The content, design, text, graphics and code of this website are owned by Gonzware LLC or licensed to us, and are protected by copyright and other intellectual property laws. Our company name, product names and logos are our marks and may not be used without our written permission.

You may view and print pages for your own reference or to evaluate working with us. Any other use — republication, commercial use, or the creation of derivative works — requires our prior written consent.

Ownership of anything we create for a client under an engagement is determined by that engagement's written agreement, not by this page.

This site links to sites we do not operate, including the sites of our own products and of third-party services. We provide those links for convenience. We are not responsible for the content, terms or privacy practices of any site we do not control, and a link is not an endorsement.

This website is provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

To the fullest extent permitted by law, Gonzware LLC and its members, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, or business, arising from or relating to your use of this website — whether based in contract, tort, statute or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising from or relating to this website will not exceed one hundred United States dollars (US$100). Liability arising from an engagement is governed by that engagement's written agreement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply to the greatest extent those laws permit, and nothing here limits liability for fraud, wilful misconduct, or anything else that cannot lawfully be limited.

You agree to indemnify and hold harmless Gonzware from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your misuse of this website or your breach of these terms.

These terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. You and Gonzware agree to the exclusive jurisdiction of the state and federal courts located in Wisconsin for any dispute arising from this website that is not otherwise resolved.

If any provision of these terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions stay in full force.

We may revise these terms from time to time. The effective date at the top of this page reflects the current version, and continuing to use the site after a change means you accept the revised terms.
